If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" or "Customer" refers to that entity.
1) Accounts & Eligibility
- You must be at least 18 and able to form a binding contract.
- Provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account.
2) Subscriptions, Billing, and No-Refunds Policy
Auto-Renewal. Paid plans are subscription-based and renew automatically at the then-current rate unless you cancel before the end of the current term.
Pricing & Taxes. Prices exclude applicable taxes and fees. You authorize us and our payment processors to charge your payment method for the subscription and applicable taxes.
Cancellation. You may cancel anytime in your account settings or by emailing compliance@midtownwestmedia.com. Cancellation takes effect at the end of the current billing period; you retain access until then.
No Refunds. All fees are non-refundable and non-creditable, including for partial periods, downgrades, unused features, or early termination. This NO REFUNDS policy applies to all purchases unless we state otherwise in writing or are required by law to provide a refund.
Trials & Promotions. If a trial is offered, charges begin when the trial ends unless you cancel before then. We may modify or end promotions at any time.
3) The Service; No Rankings Guarantee
ZenRank provides tools that generate analyses, suggestions, and content to support SEO and marketing decisions. Search engine results, rankings, and traffic are influenced by third-party algorithms and many external factors. We do not guarantee any particular ranking, traffic, or business outcome. Output is for informational purposes and should be reviewed by you before use or publication.
4) Acceptable Use
You agree not to:
- Violate laws, infringe IP rights, or submit unlawful, harmful, or deceptive content.
- Attempt to access accounts or data without authorization; probe, scan, or test system vulnerabilities; or interfere with the Service's operation.
- Circumvent usage limits, rate limits, or security controls; use bots or scraping except through authorized APIs and within stated limits.
- Upload malicious code or engage in spam, cloaking, or black-hat SEO tactics using the Service.
- Misrepresent generated output as human-created where disclosure is legally required.
We may suspend or terminate accounts that violate these Terms.
5) Your Content & License to Us
"Customer Content" means data, prompts, inputs, files, URLs, keywords, brand assets, and other materials you submit to the Service, and any reports/outputs generated for you from those inputs ("Output").
Ownership. As between you and us, you own Customer Content. Subject to Section 11, you also own your Output to the extent permitted by law.
License to Operate. You grant us a worldwide, non-exclusive, royalty-free license to host, process, display, and create derivative works from Customer Content and Output solely to provide, maintain, secure, and improve the Service (including quality, safety, and abuse detection).
Your Responsibility. You are responsible for Customer Content and for ensuring you have all necessary rights to submit it and to use the Output. Do not submit personal data you are not authorized to process.
6) Our Intellectual Property
The Service, including software, models, interfaces, templates, documentation, and branding, is owned by Midtown West or its licensors and is protected by IP laws. Except for licenses expressly granted, we reserve all rights. You may not reverse engineer, decompile, or create derivative works from the Service.
7) Third-Party Services & Integrations
The Service may interoperate with third-party products (e.g., Google Search Console, Google Analytics). Your use of third-party services is governed by their terms and privacy policies. We are not responsible for third-party services or changes thereto.
8) Confidentiality
Each party may access confidential information of the other. The receiving party will use the same degree of care it uses to protect its own confidential information (and at least reasonable care) and only use it to perform under these Terms. This section does not restrict disclosure required by law, with reasonable notice where lawful.
9) Data Protection & Security
We process personal information as described in our Privacy Policy. We use reasonable administrative, technical, and physical safeguards; however, no method is 100% secure. You are responsible for maintaining appropriate backups of your Customer Content.
10) API & Fair Use
If the Service includes an API or programmatic access:
- We may set or modify rate limits and quotas.
- You must keep API keys confidential and use them only for your account.
- We may monitor usage for abuse and performance, and throttle or suspend access to protect the Service.
11) Generated Output; IP and Attribution
Model-generated Output may be similar to content generated for others due to common inputs or public data. We make no representation that Output will be unique or non-infringing. You are responsible for reviewing Output (including for accuracy, originality, and compliance) before use. Where required, you will provide legally required disclosures or attributions.
12) Beta, Preview, and Free Features
We may offer features labeled alpha, beta, preview, or free. These are provided "as is" without warranties, may be modified or discontinued at any time, and may be subject to additional terms.
13) Service Changes & Availability
We may update or discontinue features, content, or functionality without notice. We aim for high availability but do not guarantee uninterrupted Service.
14) Disclaimers
THE SERVICE AND ALL CONTENT/OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. YOU ASSUME ALL RISK FROM USE OF THE SERVICE AND OUTPUT.
15) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Indirect Damages. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
Cap. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

16) Indemnification
You will defend, indemnify, and hold harmless Midtown West and its officers, directors, employees, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service or Output in violation of law or these Terms; or (c) your breach of representations or warranties herein.
17) Term; Suspension; Termination
These Terms remain in effect while you use the Service.
- We may suspend or terminate your access immediately for violations of these Terms, risk to the Service, or non-payment.
- You may terminate by cancelling your subscription (Section 2).
- No Refunds on termination (see Section 2).
- Upon termination, your right to access the Service ceases; certain sections survive (including 3–8, 11, 14–22).
18) Governing Law; Dispute Resolution
Law & Venue. These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Except for the arbitration below, the exclusive venue is the state or federal courts located in Sacramento County, California, and both parties consent to personal jurisdiction there.
Arbitration & Class-Action Waiver. Any dispute arising from or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Rules. YOU AND WE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. Arbitration will be held in Sacramento County, California (or remotely by video). This clause does not prevent either party from seeking provisional relief in court or from bringing individual claims in small-claims court.

We may send notices by email, in-app messages, or by posting to the Service. By using the Service, you consent to receive electronic communications and agree that they satisfy any legal requirements for written communications.
22) Changes to These Terms
We may update these Terms from time to time. The "Effective date" shows the latest revision. If changes are material, we will provide notice (e.g., via email or in-app). Your continued use of the Service after changes take effect constitutes acceptance.
23) Miscellaneous

Assignment. You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
Severability; Waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.
